GENERAL TERMS AND CONDITIONS PERPORTAM

PerPortam B.V. (PerPortam) is a private limited liability company formed under Dutch law and registered with the Dutch Chamber of Commerce (number: 201207410000). Its statutory address is at Marnix 65d in Amsterdam, the Netherlands. As such, PerPortam's general terms and conditions are written in Dutch. These general terms and conditions are in the process of being translated and will be added to this website very soon. In the meantime, please find below a summary of these general terms and conditions.

INTRODUCTION:

As a customer you will be able to purchase software applications from PerPortam through its website. PerPortam currently offers two software applications: Business Plan Wizard and PerPortam's online office. Furthermore, PerPortam will offer various third party online software applications for sale through its website to its customers as well. All software applications for sale are entirely web based.

JURISDICTION AND GOVERNING LAW:

By purchasing any one of these software applications from PerPortam you agree to be bound by its general terms and conditions. The general terms and conditions are governed by Dutch law. Dutch courts will have exclusive jurisdiction over any conflicts that flow from these general terms and conditions.

LIMITATION OF LIABILITY:

PerPortam has no obligation, duty or liability in contract, tort, for breach of statutory duty or otherwise beyond that of a duty to exercise reasonable skill and care. Under no circumstances shall PerPortam be liable in contract, tort (including negligence or breach of statutory duty) or otherwise for loss (whether direct or indirect) of profits, business, or anticipated savings or for any indirect or consequential loss whatever. The Customer shall indemnify PerPortam against any actions, proceedings, claims or demands in any way connected with this Contract brought or threatened against PerPortam by a third party except to the extent that PerPortam is liable to the Customer under the general terms and conditions.

ACCESS AND USE:

PerPortam will provide you with a personal user name and password with which you can access your online software application. Your user name and password are private and your responsibility to safekeep. PerPortam accepts no responsibility whatsoever for any misuse or damages that result from any unauthorized use.

You may make use the software application within the limits provided by the law and general terms and conditions. For instance, you may not use any of the software applications for discriminatory, criminal or pornographic purposes. You are only allowed to make use of the software applicatinos; all intellectual property connected to these software applications remains with PerPortam. Moreover, you may not make any changes to the software applications. PerPortam reserves the right to block your access to its services if it discovers any of the above misuse.

SUBSCRIPTION PAYMENT AND TERMINATION:

PerPortam's online office charges you a monthly subscription fee. There is no initial fixed subscription period. PerPortam's online office subscription will be tacitly renewed every month. Please note that you may cancel your subscription at any time before the end of the month.

Business Plan Wizard charges you a one time payment. For this you will have access to your business plan for an entire year. You can choose to cancel this subscription at any time during the year. However, you will not receive a refund for the remainder of the year. Your subscription to Business Plan Wizard will not be tacitly renewed.

All payments will be automatically deducted from your account.

With your software applications you are able to create your own back up files of all your information and data. PerPortam is under no (legal) obligation to store your data and/or information at the end of your subscription nor will it do so.

MAINTENANCE:

PerPortam will do its utmost to ensure that the software application runs smoothly at all times but gives no guarantees to that effect. PerPortam reserves the right to modify and improve the functionality of the software applications at any time.

MODIFICATIONS:

PerPortam reserves the right to modify the general terms and conditions or the subscription fees it charges for the use of its software applications, at any time. Any such modifications do not provide you with the right to terminate your subscription if the modifications are not materially to your detriment.
